Systèmes Kentro Inc. — Terms of Service

Systèmes Kentro Inc. ("Kentro", "we", "us", "our") is a Quebec-based technology company. These Terms of Service ("Terms") govern your use of and interaction with our products: Yasna, Mulberry, and Sofia (collectively "the Services").

By using any Kentro-powered service you agree to these Terms.

Kentro provides AI-powered technology to restaurant operators ("restaurant clients"). When you interact with any Kentro-powered service:

• Your primary relationship is with the restaurant
• Kentro acts as technology service provider only
• The restaurant is responsible for their products, services, pricing, and fulfillment
• Kentro is not a restaurant operator, food provider, or delivery company

By interacting with any Kentro-powered service by phone or kiosk you acknowledge:

• Your interaction may be recorded
• You will be informed at the start of each session
• Recordings are used for order processing, reservation management, quality assurance, and service improvement
• Recordings are stored by Retell AI per their privacy policy

• Orders placed through Yasna are between you and the restaurant operator
• Prices, availability, and menu items are set by the restaurant, not Kentro
• Kentro is not responsible for order accuracy, food quality, allergens, or delivery
• All order disputes must be directed to the restaurant directly
• Kentro does not process payments

• Reservations made through Mulberry are subject to the restaurant's own reservation policy
• Kentro is not responsible for table availability, wait times, seating, or reservation disputes
• All reservation disputes must be directed to the restaurant directly
• Cancellation policies are set by the restaurant

• Sofia provides general information only
• Information is sourced from the restaurant operator
• Kentro is not responsible for accuracy of hours, pricing, or menu information provided
• For confirmed information always contact the restaurant directly

Your use of our Services is also governed by our Privacy Policy at kentroflow.io/privacy. By using our Services you consent to data processing as described therein.

You agree not to:

• Use our Services for any unlawful purpose
• Attempt to manipulate, hack, or abuse our AI systems
• Record or reproduce our AI interactions without written consent
• Impersonate another person when placing orders or making reservations
• Use our Services to harass restaurant staff or our systems

• All Kentro technology, software, AI models, voice agents, and branding are the exclusive property of Kentro Systems Inc.
• Restaurant operators license our products, they do not own them
• You may not copy, reproduce, or reverse engineer any part of our Services

Our Services are provided "as is" without warranty of any kind. Kentro does not warrant that:

• Services will be uninterrupted or error-free
• AI responses will always be accurate
• Menu or pricing information will always be current

To the fullest extent permitted by applicable law, Kentro is not liable for:

• Actions or omissions of restaurant operators
• Food quality, safety, or allergen information
• Delivery delays or failures
• Third-party service interruptions
• Indirect, incidental, or consequential damages
• Any damages exceeding $100 CAD

You agree to indemnify and hold harmless Kentro Systems Inc., its officers, directors, and employees from any claims, damages, or expenses arising from your misuse of our Services or violation of these Terms.

• Primary: Province of Quebec and federal laws of Canada
• USA users: governed by Quebec law; disputes resolved in Quebec courts
• EU users: where required by local law, GDPR applies as described in our Privacy Policy

Any disputes shall be resolved in the courts of Quebec, Canada unless local mandatory law requires otherwise.

We may update these Terms as our products evolve. Material changes will be posted on this page with an updated date. Continued use of any Kentro powered service after changes constitutes acceptance.
